WILSTEAD PLAYERS CONSTITUTION

WILSTEAD PLAYERS CONSTITUTION   V.4.6

1)        The name of the Society shall be ‘Wilstead Players’.

2)        The objects of the Society will be to cultivate the dramatic and musical arts, produce public performances by amateurs and encourage young people to participate in the Society’s activities.

3)        The Society shall be run by a Committee of Members consisting of the principal officers (Chairman, Secretary, Treasurer and Village Hall Representative) together with at least four ordinary Members, elected at the Annual General Meeting.  A Vice-Chairman may be appointed by the Chairman from existing Committee Members.

The Committee shall have the power to add to their number as they see fit.  No Committee meeting can take place unless a quorum of at least five elected Committee Members is present.

The Committee shall have the power to use or apply the funds of the Society as they think fit.

The Annual General Meeting of the Society shall be held before the end of June each year.  Officers and Committee Members shall be elected for the ensuing year and at least seven days notice convening the meeting shall be given to Members.

4)        There will be a membership subscription payable by all Members at rates decided by the Committee.

            Four types of membership will be available:

            Full Membership:  This will be payable from the 1st July and last one year or until the next Annual General Meeting.

            Single Production Membership:  A temporary membership lasting for one production only with no voting rights.

            Youth Membership:  Available to those Members still in full time education with no voting rights.

            Patron:  Patrons are invited to support the Society at an annual minimum donation decided by the Committee.  Patrons will become full Members of the Society with the additional benefits that:

a)        They will be given advance booking facilities for tickets for productions.

b)        They will have free entry to one social event each year decided by the Committee.

Honorary Patron:  Honorary Patrons shall be appointed as and when appropriate, usually in recognition for exceptional services rendered. Honorary Patrons will not pay a membership subscription.

Each Member shall be provided with a copy of the Constitution.  No person shall take part in a production unless they become a Member and their subscription is current.

5)        This Constitution cannot be amended, altered or added to, except at an Annual General Meeting or Special General Meeting called for the purpose and requisitioned by a minimum of five members.  In both cases at least fourteen days notice of the proposed amendment must be given to the Secretary and at least seven days notice of the date of the proposed content of the Meeting must be given to all Members.

6)        The choice of any proposed play or production and the cast thereof shall be the responsibility of the Production Director provided that:

a)        The choice of production shall be approved by the Committee prior to audition.

b)        The choice of cast shall be approved by the Committee prior to announcement.

In the event of a dispute between the Committee and the Production Director, the Committee shall have the right to stop any production at any time.

7)        The accounts of the Society shall be inspected annually by an independent person approved by the Committee.  The accounts shall be submitted to the Annual General Meeting for approval by the Membership.

8)        The Committee is responsible for the compliance of the Society with all currently applicable legislation with particular note to health and safety issues and vulnerable person’s protection.

9)        Should it be decided that the Society be dissolved at any time, at an Annual General Meeting or a Special General Meeting called for the purpose, the assets of the Society shall be dealt with as the Society thinks fit.
